Lumi Terms of Service

Lumi Creator Benefit Corporation ("Lumi," "Company," "we," "us," or "our") operates a creator collaboration platform that may include a website, mobile application, messaging tools, creator profiles, community feeds, project workspaces, collaboration requests, notifications, and related services (collectively, the "Services"). These Terms of Service (the "Terms") govern access to and use of the Services by any individual or entity that accesses or uses them (collectively, "Users," "you"). For purposes of these Terms, Lumi and each User are individually a "Party" and collectively the "Parties."

Lumi and the Services are currently made available only to users located in the United States, Canada, the United Kingdom, and Australia. Access to or use of the Services from other jurisdictions may be limited or unavailable, and Lumi reserves the right to expand or restrict the geographic availability of the Services at any time.

Acceptance of Terms

By creating an account, accessing or using the Services, or clicking "Sign up," "Create account," "I agree," or any similar button or checkbox in connection with these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and all other policies referenced in them. If you do not agree to these Terms, you may not access or use the Services.

Eligibility

The Services are intended only for users who are at least 18 years old. By using the Services, the user represents and warrants that the user is at least 18 years old and has the legal capacity to enter into a binding agreement.

Accounts and Registration

A user may need to create an account to access some or all features of the Services, including creator profiles, messaging, project workspaces, notifications, and collaboration features. The user agrees to provide accurate, current, and complete information, to keep account credentials confidential, and to accept responsibility for all activities that occur under the account.

Lumi may suspend or terminate an account, require verification, reclaim usernames, or restrict access if account information is inaccurate, misleading, unlawful, infringing, or otherwise violates these Terms.

Account Deletion

A user may request deletion of a Lumi account at any time through the settings provided in the Services or by contacting Lumi. When Lumi processes an account deletion request, Lumi may disable the user's login credentials, mark the account as deleted, and cease providing the user with access to the Services under that account.

Account deletion does not automatically remove all content the user has previously contributed. To maintain the continuity and integrity of discussions, collaborations, and shared projects, Lumi may retain certain posts, comments, messages, project assets, and other contributions in an anonymized or pseudonymized form. In such cases, authorship may be shown under a generic deleted‑user identifier (for example, "deleted") rather than the user's name or handle, as further described in the Lumi Privacy Policy.

Services and Features

Lumi provides tools that may include creator identity profiles, creator discovery, follows or connections, direct messaging, project conversations, community activity feeds, collaboration requests, project workspaces, notifications, and other collaboration-oriented features. Lumi may add, remove, modify, pause, or discontinue any feature at any time, with or without notice, to the extent permitted by law.

Acceptable Use

The user may use the Services only in compliance with these Terms and applicable law. If the user fails to comply with these Terms, the user's account and any associated accounts may be suspended or terminated indefinitely. The user must not:

  • Use the Services for unlawful, fraudulent, deceptive, harmful, or abusive purposes.
  • Harass, threaten, impersonate, defame, exploit, or endanger other users.
  • Upload, post, transmit, or share content that infringes intellectual property, privacy, publicity, or other rights.
  • Upload explicit, offensive, or vulgar content.
  • Interfere with platform operations, introduce malware, attempt unauthorized access, scrape the Services, reverse engineer the Services, or use bots except as expressly authorized.
  • Use the Services to send spam, manipulate engagement, create fake accounts, or misrepresent identity, affiliation, skills, endorsements, or collaboration history.
  • Use the Services in a way that damages, disables, overburdens, or impairs the Services or other users' experience.

Survival of Rights in Content

By submitting User Content to the Services, the user grants Lumi a limited license to host, display, and distribute that content for the purposes of operating the Services, subject to these Terms and the Lumi Privacy Policy. This license may continue for User Content that remains available on the Services after the user's account is deleted, to the extent necessary to preserve discussions and collaborations involving other users.

Lumi does not use User Content associated with deleted accounts for new marketing or promotional purposes without obtaining separate consent where required by law.

User Content

Users may submit, upload, publish, transmit, message, or otherwise make available profiles, portfolio links, messages, posts, project details, collaboration requests, endorsements, and other content through the Services ("User Content"). The user retains ownership of User Content, but grants Lumi a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, perform, modify for formatting or technical purposes, distribute, and otherwise use User Content as necessary to operate, improve, secure, promote, and provide the Services.

The user represents and warrants that the user has all rights necessary to provide the User Content and that the User Content does not violate law or third-party rights. Lumi may remove, restrict, review, or refuse User Content at its discretion if it reasonably believes the content violates these Terms, applicable law, or the safety and integrity of the Services.

Data Retention and Legal Obligations

Lumi retains and deletes data in accordance with the Lumi Privacy Policy and Lumi's internal data retention procedures. Lumi may keep certain records relating to a user's access to or use of the Services, including safety reports, minimized audit logs, and collaboration history, for periods necessary to comply with legal and regulatory requirements, protect Lumi and other users, prevent abuse, and maintain the integrity of the Services.

Except where applicable law or Lumi's documented legitimate interests require longer retention, Lumi may delete or anonymize personal information associated with a user's account when it is no longer needed for these purposes. For additional details regarding retention periods and deletion processes, users should review the Lumi Privacy Policy.

Intellectual Property

The Services, including software, design, text, graphics, trademarks, logos, and platform features, are and remain the property of Lumi Creator Benefit Corporation or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Services under these Terms, no license or ownership interest is transferred to the user.

Collaboration and Project Relationships

Lumi provides tools to help users discover collaborators, communicate, and organize projects, but Lumi is not a party to agreements between users and does not guarantee the quality, legality, timing, safety, payment, deliverables, ownership allocation, or outcome of any collaboration or project formed through the Services. Users are solely responsible for their own project terms, creative decisions, working relationships, permissions, releases, payments, tax obligations, and intellectual property arrangements with other users.

Feedback

If a user provides suggestions, ideas, enhancement requests, or other feedback relating to the Services, Lumi may use that feedback without restriction or obligation to the user, and without compensation, to the extent permitted by law.

Third-Party Services and Links

The Services may contain links to third-party websites, portfolio platforms, payment tools, social platforms, or other services not controlled by Lumi. Lumi is not responsible for third-party services, content, availability, or practices, and access to those third-party services is at the user's own risk.

Privacy

Use of the Services is also subject to the Lumi Privacy Policy, which describes how personal information is collected, used, disclosed, and otherwise processed. The Privacy Policy is incorporated into these Terms by reference and is made available within the Services and alongside these Terms.

Termination

Lumi may suspend, restrict, or terminate access to the Services, remove content, or deactivate accounts at any time, with or without notice, if Lumi believes a user has violated these Terms, created risk or possible legal exposure, or harmed other users, Lumi, or the Services. A user may stop using the Services at any time and may request account deletion subject to applicable retention, compliance, security, and dispute-resolution needs.

Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. Lumi does not warrant that the Services will be uninterrupted, secure, error-free, accurate, reliable, or suitable for any particular purpose, or that any collaboration opportunity will lead to creative, professional, or financial outcomes.

Limitation of Liability

To the fullest extent permitted by law, Lumi Creator Benefit Corporation and its officers, directors, employees, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, projects, business opportunities, or creative materials arising out of or related to the Services. To the fullest extent permitted by law, Lumi's total liability for claims arising out of or related to the Services will not exceed the greater of the amount paid by the user to Lumi for the Services in the 12 months before the claim arose or 100 U.S. dollars.

Indemnification

The user agrees to defend, indemnify, and hold harmless Lumi Creator Benefit Corporation and its officers, directors, employees, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to the user's access to or use of the Services, User Content, violation of these Terms, or violation of any law or third-party right.

Changes to the Terms

Lumi may modify these Terms from time to time. Updated Terms may be posted with a revised "Last Updated" date, and if changes are material, Lumi may provide users with reasonable notice through the Services or by other appropriate means as required by law. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms, except where additional consent is required by law.

Governing Law and Disputes

Governing Law: These Terms and any dispute, claim, or controversy arising out of or relating to Lumi, the Lumi platform, or your use of Lumi (collectively, "Disputes") are governed by and will be construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Venue; Jurisdiction: The parties agree that all disputes that are not subject to informal resolution or the small-claims exception below will be brought exclusively in the state or federal courts located in the State of Maryland, and each party consents to the personal jurisdiction of such courts and waives any objection to venue or forum on the grounds of inconvenience.

Informal Resolution: Before filing any lawsuit, the parties agree to first attempt to resolve the dispute informally. Either party may initiate this process by sending a written notice that briefly describes the dispute and the requested relief to the other party's contact address. If the dispute is not resolved within 60 days after the notice is received, either party may proceed to bring an action in court consistent with this section.

Waiver of Class and Representative Actions: To the fullest extent permitted by law, the parties agree that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The court may not consolidate claims without Lumi's and your written consent, and may not otherwise preside over any form of representative or class proceeding involving Lumi.

Waiver of Jury Trial: To the fullest extent permitted by law, the parties knowingly and voluntarily waive any constitutional and statutory rights to a trial by jury in any Dispute between the parties. Any Dispute will be resolved by a judge in a court of competent jurisdiction, as specified in the "Venue; Jurisdiction" provision above.

Small-Claims Court Exception: Nothing in this Section 20 prevents you or Lumi from bringing an individual action in a small-claims court that has jurisdiction over the parties and the claim, so long as that action remains on an individual basis.

Severability: If any part of this Section 20 is found to be unenforceable as to a particular claim or remedy, that part will be severed and the remainder will continue to apply to the fullest extent permitted by law.

Copyright and Repeat‑Infringer Policy

We respect the intellectual property rights of creators and rights holders, and we expect everyone who uses Lumi to do the same. If we receive a copyright complaint or a notice under the Digital Millennium Copyright Act, Title 17 of the United States Code (the "DMCA"), regarding specific content on Lumi, we may remove or disable access to that content and, where appropriate, notify the user who posted it.

Users whose content is the subject of multiple, good‑faith copyright complaints or infringement notices may be considered "repeat infringers." Consistent with the DMCA, including 17 U.S.C. § 512, and other applicable law, we may take action against repeat infringers, which can include limiting features, suspending access to Lumi, or closing their accounts in appropriate circumstances.

We may update how we handle copyright complaints and repeat infringers from time to time, and we reserve the right to remove or restrict content or accounts at our discretion to help keep Lumi safe and respectful of others' rights.
